A debenture issued by the Issuer that has the same cash flows as an interest rate cap (Cap Certificate) or interest rate floor (Floor Certificate).
For Cap Certificates, the Certificate Holder pays an upfront fee (the Issue Price) and receives payments when interest rates exceed the Cap Rate.
For Floor Certificates, the Certificate Holder pays an upfront fee (the Issue Price) and receives payments when interest rates are below the Floor Rate.
